SECTION 1 — GENERAL TERMS

1.1 Definitions

  • “Company” means Bluemotion Engineering Limited.
  • “Customer”/“Client” means the individual, firm, or company purchasing goods or services from the Company.
  • “Goods” means any machines, equipment, parts, or materials supplied by the Company.
  • “Services” means any repair, maintenance, installation, or engineering work performed by the Company.

1.2 Payment Terms

  1. All payment terms are as agreed in writing between the Company and the Customer prior to supply of Goods or commencement of Services.
  2. If no written agreement exists, payment is due on receipt of invoice.

1.3 Late Payment & Debt Recovery

  1. The Company reserves the right to charge interest and late-payment fees as permitted under Irish law, calculated from the due date until payment is made in full.
  2. The Customer agrees to reimburse the Company for all reasonable costs, including legal fees, debt-collection agency fees, and administrative time incurred as a result of late or non-payment.

1.4 Retention of Title

  1. All Goods remain the property of Bluemotion Engineering Limited until payment has been received in full, including any interest or additional charges.
  2. Until title passes to the Customer, the Customer must:
    • Store Goods safely and clearly identify them as Company property.
    • Not sell, pledge, or otherwise dispose of the Goods.
  3. If the Customer defaults on payment, the Company may enter the Customer’s premises to recover Goods belonging to the Company.

1.5 Limitation of Liability

  1. Except where prohibited by law, the Company’s total liability for any claim arising from Goods or Services shall not exceed the amount paid by the Customer under the invoice giving rise to the claim.
  2. The Company shall not be liable for:
    • Consequential, indirect, or economic losses
    • Loss of production, loss of revenue, or downtime
    • Damage caused by misuse, improper installation, neglect, or alteration by the Customer
  3. Nothing in these Terms limits liability for death or personal injury resulting from negligence, or any other liability that cannot lawfully be excluded.

1.6 Force Majeure

The Company is not liable for delays or failures caused by events outside its reasonable control, including but not limited to supply-chain disruptions, transport delays, accidents, or acts of God.

1.7 Governing Law

These Terms are governed by the laws of Ireland, and any disputes shall be resolved in the courts of the Republic of Ireland.

1.8 Acceptance of Terms

By paying a deposit, confirming an order, accepting delivery, or otherwise instructing the Company to proceed, the Customer is deemed to have accepted these Terms and Conditions in full, regardless of whether the Customer has signed or returned a physical copy. The Customer acknowledges that these Terms take precedence over any purchase order or other Customer-issued documents unless explicitly agreed in writing by the Company.


SECTION 2 — TERMS FOR NEW SALES

2.1 Quotations & Orders

  1. Quotations remain valid for the period stated or, if unstated, for 1 day.
  2. An order is considered accepted only when confirmed in writing by the Company.

2.2 Payment & Deposits

  1. Payment structure (including deposits, staged payments, or pre-payment requirements) shall be as agreed in writing for each machine sale.
  2. Production lead-times commence only after deposit or payment milestones are received.

2.3 Warranty (New Machines)

  1. Warranty terms, duration, scope, and exclusions are as agreed in writing between the Company and the Customer for each machine sold.
  2. WARRANTY VALIDITY REQUIREMENT:
    • The warranty is valid only if all manufacturer-specified and Company-specified service and maintenance schedules are fully complied with, and
    • All servicing, maintenance, inspections, and replacement of serviceable items are carried out exclusively by Bluemotion Engineering Limited.
  3. The Customer acknowledges that all labour, parts, consumables, and materials required to carry out service and maintenance work—whether scheduled or recommended—are billed separately and are not included in the warranty.
  4. Any maintenance, servicing, or repair work carried out by third parties automatically voids the warranty, unless the Company has provided prior written authorization.
  5. Warranty does not cover:
    • Consumable items
    • Damage caused by operator error, misuse, neglect, incorrect installation, contamination, improper environment, or external factors
    • Failures resulting from skipped, incomplete, or delayed maintenance
    • Modifications or alterations made without the Company’s written approval
  6. Warranty services may be performed on-site or via return-to-base at the Company’s discretion.
  7. It is the Customer’s responsibility to ensure that all manufacturer-specified and Company-specified service and maintenance schedules are booked with Bluemotion Engineering Limited in a timely manner.

2.4 Delivery, Installation & Commissioning

  1. Delivery terms are as specified in writing (e.g., ex-works, delivered, installed).
  2. ''Installation'' does not include transport from Company to customer's site.
  3. Risk in the Goods passes to the Customer upon delivery, unloading, or installation as specified.
  4. The Customer is responsible for providing suitable power, air supply, access, and environmental conditions for installation.
  5. If the Customer causes any delay to the Company during commissioning or training, the Company reserves the right to charge the Customer for all additional time, costs, and expenses incurred as a result of such delay.

2.5 Training

Training requirements for machine operation, if included, will be specified in the written sales agreement.

2.6 Returns

Custom-built or special-order machines cannot be returned unless defective. 

All Bluemotion CNC Equipment is classified as ''Special-order''

Any return must be agreed in writing.


SECTION 3 — TERMS FOR USED / REFURBISHED SALES

3.1 Condition of Goods

  1. Used or refurbished machines are sold in the condition described in the sales agreement, invoice, or inspection report.
  2. The Customer acknowledges that used equipment may show wear consistent with its age and prior use.

3.2 Warranty (Used Machines)

  1. Any warranty on used or refurbished machines is only as agreed in writing.
  2. Where a warranty is provided, the following terms apply:
    • The warranty is valid only if all recommended service and maintenance schedules are adhered to, and
    • All servicing, maintenance, inspections, and replacement of serviceable items are carried out exclusively by Bluemotion Engineering Limited.
  3. The Customer acknowledges that all labour, parts, consumables, and materials required to meet the service and maintenance schedule are billed separately and are not included in any used-machine warranty.
  4. Any servicing, repairs, or adjustments performed by third parties voids the warranty unless explicitly authorised in writing by the Company.
  5. If no written warranty is provided, used or refurbished machines are sold “as-is,” without any warranty expressed or implied.

3.3 Inspection

The Customer is encouraged to inspect the machine prior to purchase.

Inspection or acceptance signifies agreement to the machine’s condition at the time of sale.

3.4 Delivery

Delivery, loading, or installation arrangements will be as agreed in writing.

Risk transfers to the Customer once the machine leaves the Company’s premises unless agreed otherwise.


SECTION 4 — TERMS FOR REPAIR, SERVICE & MAINTENANCE WORK

4.1 Scope of Works

A written quotation, email, or work order will define the scope of Services.

Additional work requires Customer approval and may incur additional charges.

4.2 Payment for Services

  1. Payment terms for Services (including call-outs, labour, parts, and travel) are as agreed in writing.
  2. If unstated, payment is due on completion of the Service or upon receipt of invoice.

4.3 Call-Outs, Labour & Travel

Call-out fees, labour rates, mileage/travel charges, and minimum billable times will be as specified in writing before work begins.

4.4 Customer Responsibilities

The Customer must:

  • Provide safe access to machinery
  • Ensure the work area complies with all safety requirements
  • Declare any hazards or unusual machine behaviour
  • Provide power, lifting equipment, and workspace where necessary

4.5 Warranty on Repair Work

  1. Warranty on labour and replacement parts is as agreed in writing, typically covering workmanship only.
  2. Warranty does not cover repeat failures caused by operator error, misuse, or unrelated faults.

4.6 Uncollected or Abandoned Equipment

If equipment is left with the Company for repair:

  1. Storage fees may apply after 30 days from notification of completion.
  2. After 120 days, the Company may dispose of the equipment to recover costs.


END OF TERMS & CONDITIONS

Bluemotion Engineering Limited
